Key Responsibilities

• Assist in the structuring and execution of mergers, acquisitions, disposals, and other corporate transactions.
• Draft and negotiate key transaction documents, including sale and purchase agreements, shareholders' agreements, and ancillary documents.
• Conduct due diligence investigations, including legal, financial, and commercial aspects.
• Advise clients on corporate governance, compliance, and shareholder issues.
• Manage client relationships and communicate effectively with stakeholders throughout the transaction lifecycle.
• Support the ongoing development of the corporate department through business development activities and knowledge sharing.

Requirements

• A qualified solicitor in England and Wales with 2-4 years of post-qualification experience in corporate law.
• Demonstrated experience in handling various corporate transactions, with a strong understanding of M&A processes.
• Excellent legal drafting and negotiation skills, with a keen eye for detail.
• Proficiency in conducting legal due diligence and preparing comprehensive reports.
• Strong analytical skills and the ability to manage multiple tasks efficiently.
