In-House Counsel - Corporate Law

About the Role

Our client is seeking a dedicated In-House Counsel with a strong background in corporate law to join their growing team based in Birmingham . This role is integral to supporting the company's strategic initiatives by providing proactive legal counsel and ensuring compliance across all business operations. You will work closely with senior management and various departments, handling a wide array of legal matters from contracts and compliance to corporate governance and dispute resolution. Key Responsibilities

• Provide legal advice and support on corporate transactions, mergers, acquisitions, and joint ventures.
• Draft, review, and manage a variety of commercial agreements, NDAs, and corporate policies.
• Ensure compliance with all relevant UK and international laws and regulations.
• Manage corporate records, board minutes, and shareholder communications effectively.
• Assist in developing and implementing legal risk management strategies for the business.
• Liaise with external legal counsel and manage litigation matters when necessary.

Requirements

• Admitted as a solicitor or barrister in England and Wales with a current practicing certificate.
• At least 5 years of experience in corporate law, either in private practice or in-house.
• Strong understanding of company law, contract law, and regulatory frameworks.
• Excellent negotiation and drafting skills.
• Ability to work independently and as part of a team, managing multiple priorities effectively.
