In-House Counsel (Corporate Law)

Key Responsibilities

• Provide expert legal advice on corporate governance, compliance, and risk management.
• Manage and execute various corporate transactions, including mergers, acquisitions, and joint ventures.
• Draft, review, and advise on a broad range of commercial agreements and legal documentation.
• Ensure compliance with all relevant UK legislation and regulatory requirements.
• Liaise with external counsel as required, managing external legal spend effectively.
• Develop and implement internal policies and procedures to mitigate legal risks across the organization.

Requirements

• A qualified solicitor or barrister in England and Wales, with a minimum of 4 years' post-qualification experience.
• Significant experience in corporate law , including M&A, corporate finance, and company secretarial matters.
• Proven ability to provide pragmatic and commercially sound legal advice.
• Excellent drafting and negotiation skills.
• Strong understanding of regulatory frameworks affecting businesses operating in the UK.
• Ability to manage multiple priorities and work effectively under pressure within the Newcastle upon Tyne region.
