About the Role

Our client, a prestigious financial institution in Edinburgh , is seeking a skilled Legal Counsel to join its busy Banking and Finance division. This role is integral to supporting the bank's lending activities, capital markets transactions, and regulatory compliance efforts. You will provide essential legal expertise, drafting and advising on a wide array of financial agreements and instruments. This position is ideal for a lawyer with a strong understanding of financial regulations and a keen eye for detail. You will collaborate closely with business units, risk management, and compliance teams to ensure the bank operates within legal and regulatory boundaries, contributing to its continued success and reputation in the financial services industry.

Key Responsibilities

• Advise on complex banking and finance transactions, including syndicated loans, bilateral loans, and project finance.
• Draft, review, and negotiate loan agreements, security documents, and related financial contracts.
• Ensure compliance with financial services regulations, including those set by the FCA and PRA.
• Support capital markets activities, including bond issuances and other debt financing.
• Provide legal guidance on corporate governance and financial crime prevention.
• Manage legal aspects of regulatory inquiries and investigations.

Requirements

• Qualified solicitor or barrister with a minimum of 5 years of experience in banking and finance law, gained at a reputable law firm or in-house.
• Strong knowledge of corporate lending, debt capital markets, and financial regulatory frameworks.
• Demonstrated experience in drafting and negotiating complex financial documentation.
• Excellent understanding of risk management principles within the financial services sector.
• High level of accuracy, attention to detail, and strong analytical skills.
• Ability to work under pressure and meet tight deadlines in a demanding environment.
