About the Role

Our client seeks a skilled Legal Counsel specializing in Corporate Law and Mergers & Acquisitions to join their esteemed legal department in Newcastle upon Tyne . You will play a critical role in advising on a wide spectrum of corporate transactions, from initial due diligence to post-completion integration, ensuring all legal aspects are meticulously managed. Key Responsibilities

• Manage and execute complex M&A transactions, including due diligence, drafting, and negotiation of transaction documents.
• Advise senior management and business units on corporate governance, compliance, and strategic legal matters.
• Develop and implement legal strategies to support business objectives and mitigate risk.
• Oversee the legal aspects of corporate reorganizations, restructurings, and financings.
• Collaborate with internal teams and external advisors to ensure seamless deal execution.
• Maintain up-to-date knowledge of relevant corporate laws and regulations.

Requirements

• Admitted to practice law as a solicitor or barrister with a minimum of 4 years' experience in corporate law/M&A.
• Demonstrated experience in managing and closing significant M&A transactions.
• In-depth knowledge of UK company law and corporate governance principles.
• Strong negotiation and drafting skills with a keen eye for detail.
• Excellent communication and interpersonal skills, with the ability to build rapport with stakeholders.
• Ability to work effectively in a hybrid environment, balancing remote and in-office responsibilities.
