Job Title: Board Governance Manager

Location: Ashford, Kent with free onsite parking

Salary: £38,400 (FTE £48,000)

Hours: Part time, up to 4 days per week, typically 9am to 5pm, with some flexibility aligned to Board cycles and organisational priorities

Hybrid: Mondays in the office and all Board meeting days, the rest of the days can be spent working from home

As The Board Governance Manager, you will be responsible for supporting the Board to maintain, improve and strengthen the company's governance processes, ensuring the highest standards of corporate governance and Company Secretarial compliance are achieved.

You'll act as Company Secretary and, with support from the Executive Assistant Team, will work with the Chair, Chief Executive and Chief Finance Officer to plan, develop, and deliver Board and Committee cycles aligned to the companies' strategic priorities. You will oversee the processes that ensure that governance arrangements operate effectively to support delivery of organisational objectives.

In addition, your role will be to play a key part in delivering the organisation's Governance Improvement Plan (GIP), embedding a proportionate governance and assurance framework, strengthening Board-level oversight, and supporting delivery of a well-controlled, audit-ready environment.

What will your new role involve?

Governance & Company Secretariat

Act as Company Secretary, ensuring statutory and regulatory compliance. Maintain and improve governance frameworks, policies, and processes. Ensure effective Board and Committee operations, including planning, reporting, minutes, and action tracking. Support continuous governance and assurance improvements.Board Effectiveness

Manage Board and Committee training and member induction. Support Board development, evaluation, and succession planning. Provide expert governance advice to the Board and Executive Team.Risk, Assurance & Reporting

Embed governance, compliance, and assurance frameworks. Deliver governance and compliance reporting to the Board and Committees. Monitor key risks, trends, and mitigation actions. Lead production of the Annual Report and other statutory returns. Maintain the Board Assurance Framework and support strategic risk management.Compliance & Continuous Improvement

Oversee compliance with statutory, regulatory, and governance requirements. Coordinate governance audits, reviews, and inspections. Lead governance training and awareness initiatives.Stakeholder Engagement & Delivery

Build strong relationships with the Board, Executive Team, and key stakeholders. Work with Executive Support to deliver effective Board and Committee administration. Collaborate across functions and with external advisors to embed governance and compliance.

You'll be the ideal candidate for this role if you have:

Strong knowledge and experience of corporate governance best practice, including Board effectiveness, governance frameworks and processes and succession planning. Up to date working knowledge of Company Secretarial responsibilities, including statutory compliance, company law and experience of maintaining regulatory requirements. Experience of producing high-quality Board and Committee papers, minutes and advising on governance standards. Experience of developing compliance frameworks, policies and assurance processes, including internal and external audit activity. Strong analytical, organisational and prioritisation skills, with attention to detail and high levels of integrity and discretion. Next steps:
