Senior Corporate Counsel

About the Role

Our client is looking for an accomplished Senior Corporate Counsel to join their international legal team, operating remotely across the UK. This role is integral to providing high-level strategic legal guidance on a wide array of corporate matters, including M&A, compliance, and corporate governance. You will be a key advisor to senior management, playing a vital role in shaping the company's legal strategy and mitigating risks. Key Responsibilities

• Lead and manage complex M&A transactions, including due diligence, negotiation, and closing processes.
• Provide expert advice on corporate governance, regulatory compliance, and fiduciary duties.
• Draft, review, and negotiate significant commercial agreements and strategic partnerships.
• Oversee legal aspects of capital markets transactions and financing arrangements.
• Develop and implement corporate policies and procedures to ensure best practices.
• Manage litigation and dispute resolution, working effectively with external counsel.

Requirements

• Qualified Solicitor or Barrister with at least 8 years of relevant post-qualification experience, ideally in a top-tier law firm or large corporate legal department.
• Extensive experience in corporate law, M&A, securities law, and commercial contracting.
• Strong understanding of UK company law and corporate governance principles.
• Proven ability to manage complex projects and advise senior stakeholders effectively.
• Excellent strategic thinking, negotiation, and communication skills.
• Ability to thrive in a fully remote , fast-paced, and international business environment.
