Senior Corporate Lawyer - Remote

About the Role

Our client is actively recruiting for a highly motivated Senior Corporate Lawyer to join their entirely remote legal team. This role demands providing expert legal counsel and strategic support on a wide array of corporate transactions, governance, and compliance initiatives. Working remotely, you will play a vital role in shaping the company's legal framework and ensuring robust adherence to all regulatory requirements, contributing to significant growth and operational excellence.

Key Responsibilities

• Advise on corporate structuring, mergers, acquisitions, divestitures, and joint ventures.
• Ensure compliance with UK company law, securities regulations, and other relevant legislation.
• Draft, review, and negotiate complex corporate agreements, shareholder documentation, and board resolutions.
• Provide guidance on corporate governance best practices and support board-level decision-making.
• Manage relationships with external legal advisors and regulatory bodies on corporate matters.
• Develop and implement internal corporate policies and compliance programs.

Requirements

• Admitted to practice in England & Wales with a minimum of 8 years' post-qualification experience in corporate law, ideally within a reputable firm or in-house.
• Strong expertise in M&A, corporate finance, and corporate governance.
• In-depth knowledge of UK company law and regulatory compliance frameworks.
• Excellent drafting, negotiation, and analytical skills.
• Proven ability to manage complex projects and work effectively in a distributed, remote team environment.
