Corporate Lawyer

About the Role

Our client is seeking a dedicated Corporate Lawyer to enhance their legal team based in Birmingham . This role is central to advising on a broad spectrum of corporate transactions, including mergers and acquisitions, joint ventures, and corporate governance matters. You will play a crucial role in supporting the company's strategic growth initiatives by providing pragmatic legal solutions and ensuring compliance. Key Responsibilities

• Advise on and execute mergers and acquisitions (M&A) transactions from due diligence through to completion.
• Assist with the formation, structuring, and ongoing governance of corporate entities.
• Draft, review, and negotiate a range of corporate legal documents, including shareholder agreements and investment agreements.
• Conduct legal research and provide opinions on corporate law and related regulatory issues.
• Support the corporate finance team on capital markets transactions and fundraising activities.
• Manage relationships with clients, external counsel, and other professional advisors.

Requirements

• Admitted Solicitor or Barrister in England and Wales with a valid practising certificate.
• At least 5 years of relevant experience in corporate law , gained from private practice or in-house.
• Proven experience in handling M&A transactions and general corporate advisory work.
• Strong understanding of company law, securities regulations, and corporate governance principles.
• Excellent analytical, negotiation, and drafting skills.
• Ability to work effectively under pressure and manage multiple projects simultaneously.
