Remote Corporate Lawyer

About the Role

Our client is seeking a dedicated and experienced Corporate Lawyer to join their fully remote legal team. This position is crucial for supporting the company's ongoing corporate transactions, M&A activities, and general corporate governance needs from anywhere in the UK. You will be instrumental in providing expert legal counsel to internal stakeholders and external partners, ensuring all corporate activities comply with relevant legislation and best practices. Key Responsibilities

• Advise on mergers, acquisitions, joint ventures, and other corporate restructuring transactions.
• Draft and negotiate a variety of corporate legal documents, including share purchase agreements and shareholder agreements.
• Ensure compliance with UK company law, regulatory requirements, and stock exchange rules .
• Manage the legal aspects of corporate finance transactions and capital raising activities.
• Provide guidance on corporate governance matters, board resolutions, and statutory filings.
• Conduct due diligence investigations for potential acquisitions and investments.

Requirements

• A qualified Solicitor or Barrister with at least 6 years' PQE in corporate law .
• Demonstrable experience in handling significant M&A transactions and corporate finance.
• In-depth knowledge of UK company law and securities regulations .
• Excellent drafting, negotiation, and communication skills, with the ability to work autonomously.
• Proficiency in using legal technology and collaboration tools for remote work.
