Key Responsibilities
- Lead and manage significant corporate transactions, including mergers, acquisitions, disposals, and joint ventures.
- Provide strategic legal advice on corporate governance, compliance, and regulatory matters affecting the company.
- Draft, review, and negotiate complex corporate agreements and shareholder documents.
- Oversee the legal aspects of capital markets transactions, including fundraising and IPOs if applicable.
- Manage relationships with external legal counsel and advisors on various corporate projects.
- Ensure compliance with the Companies Act and other relevant corporate legislation in the UK.
Requirements
- Qualified Solicitor in Scotland (or eligible for admission) with a minimum of 8 years' PQE in corporate law.
- Demonstrated experience in leading complex M&A transactions and corporate restructurings.
- In-depth knowledge of corporate governance, company law, and securities regulations.
- Exceptional negotiation, drafting, and communication skills.
- Proven ability to manage multiple high-stakes projects simultaneously.
